The Board of Directors of Lafarge Africa has approved and authorized the company to:

1. Undertake a business combination/merger with the United Cement Company of Nigeria limited (Unicem) and Atlas Cement Company Limited (Atlas);

1. Enter into any agreement and do all that is necessary to negotiate and implement the merger among Unicem, Atlas and the Company;
2. Seeking the approval of the Securities and Exchange Commission and all other relevant regulatory bodies in furtherance of the implementation of the merger.
