Suntory Beverage & Food Group (the “Company”) hereby announces that its subsidiary in Nigeria has come to an agreement to acquire the soft drink operations and route to market capabilities of GlaxoSmithKline in Nigeria (GlaxoSmithKline Consumer Nigeria Plc; hereinafter the “GSK Nigeria”) as follows:
1. Reason for Acquiring Business
The Company acquired the beverage brands of Lucozade and Ribena and their business foundation from GlaxoSmithKline in U.K. (GlaxoSmithKline plc; hereinafter the “GSK”) in December 2013. However, GSK Nigeria has continued manufacture and sale of these two beverage brands in Nigeria under the license of agreement. With this acquisition of the soft drink operations and route to market capabilities of GSK Nigeria, the Company plans to reinforce its business in Nigeria and Africa.
2. Overview of the Acquisition
Operations and route to market capabilities sold by GSK Nigeria are buildings, manufacturing facilities and route to market for sales and marketing of the two brands Lucozade and Ribena in Nigeria.
3. Amount for the Acquisition
Approx. 7 billion yen (subject to adjustments including foreign exchange rates)

5. Schedule
Subject to regulatory approvals, including the Nigerian Stock Exchange’s approval, the acquisition is scheduled to complete at the end of August, 2016.
